Hot Off The Press: Fox Acquires Race Face and Easton Cycling

Race Face Performance Products Ltd and Easton Cycling President, Chris Tutton, announces the sale of both cycling brands to Fox Factory Holding Corp. (NASDAQ: FOXF) (“FOX”).

FOX is the perfect fit for Race Face/Easton. All three brands complement each other with our distinct high-performance product lines,” said Chris Tutton, President of Race Face/Easton. “The added operations, marketing, and engineering support from FOX will allow us to innovate faster while remaining focused on our core businesses.

We are very excited to complete the Race Face/Easton acquisition and welcome their team to the FOX family,” stated Larry L. Enterline, FOX’s Chief Executive Officer. “This transaction demonstrates the execution of our strategic initiatives to increase FOX’s product penetration into both existing and adjacent product categories to help drive our bike sales and profitability long-term. We look forward to leveraging our global marketing, engineering, distribution, and supply chain resources to collectively develop next-generation, high-performance bicycle ride dynamics solutions.

Race Face / Easton operations will remain at the current Burnaby location with Tutton at the helm into the forseeable future. No changes to the operation are planned.

FOX will acquire Race Face/Easton in an asset purchase transaction for approximately $30.2 million. The transaction was financed with debt and includes a potential earn-out opportunity of up to a maximum of $17.4 million payable over the next two fiscal years contingent upon the achievement of certain performance-based financial targets. On a combined basis, Race Face/Easton generated approximately $23.6 million in unaudited net sales and unaudited Adjusted EBITDA of approximately $4.3 million in its fiscal year ended October 31, 2014. FOX expects Race Face/Easton revenue growth in the high single digit range, and expects to invest in Race Face/Easton to strengthen its infrastructure and maximize the long-term potential of the business. The Company plans to provide 2015 guidance along with its fourth quarter and fiscal 2014 earnings announcement. The Company anticipates the transaction to close by the end of 2014.

 For fks sake, just because Fox says to do 15min taking outer leg service or air can service every 25 hours does not mean that it does not apply to Rockshox products using identical materials and archtecture. It is fkng manufacturers precaution not a sign that if you won't do it, your bike will explode!

 Servicing a boxxers is actually really simple.
Step 1: remove wheel
Step 2: remove the brake caliper
Step 3: Remove the boxxers from your bike frame
Step 4: throw the boxxers in the garbage and get a real fork..

See easy..;-)

 Fuzzwuzz..No I don't work for Fox and I don't currently own any of their suspension products, but I would give Fox a try before I would ever waste another dime on a piece of garbage like a boxxer. I learned my lesson the hard way.

 @preach- That is beyond incorrect. In my experience Fox takes care of their customers. Their forks cost what they do for a reason. Have you seen the inside of one? Take care of your stuff and you won't be whining about the manufacturer.

 This is probably going to be a good thing for riders. I am okay with it... As long as everything is kashima.

 guys 25-30 hours is referring to riding time not time passed (in case that wasn't obvious, can never be too sure with some people)... so that's actually 2-3 weeks of riding which for a 15 minute service is not that much at all. That's probably less time than you spend on tire pressure in those combined three weeks.

 All suspension has there strengths and weaknesses, Fox has great adjustments on a fork like there 831 and smooth as well but is way to flexy on the other hand Rockshox argyle is very stiff with okay adjustments but may not feel as smooth.Its all personal preference and as far as servicing your fork really whats the big deal???

It's simple as that.
Every manufactory has it's own policy for service interval. They make it because they think it's good for their product, if you think you don't need to service your product as recommended by manufactory, that's your call dude.

funny I run 1 fox fork for less than a season and have 100000 problems with it, but run a Marzocchi for years and never have an issue...

 I've worked in a few shops and dealing with fox and Shimano is a pain. Always has been. Good products, but customer service with sam is a million times better. But let's be honest. Commencal isn't he hardest to do anything with cuz they only have one north American rep to handle everything and he is also the rep for a few other European brands. I give the guy to handle that job cudos haha

 Who cares about warranty service? I bought an used Talas RC2 2 years ago for $400 from EBay, haven't serviced it since and it works. If it breaks, I can throw it to a bin, buy another one and it's still going to cost me less than a new one. And I won't have to wait for a repair.

 funny u mentioned that! FYI, didn't have a great rebuild experience w/ Foxshox either! Float RLC 32 150mm sent back to get it serviced (making a hollow sound like its bottoming out!) NO FORK for 2 & 1/2 weeks, and sent it back to me w/ the same problem! WTF? after spending $150 service fees!? REALLY!

 It's a good experience, everyone should be able to do it from time to time. These are people just like us and the apparently main reason why we can get legal bicycle trails in our area. Also the reason you have great stuff is because there are companies like Fox who create top notch competition. I used to hate on them, I don't anymore. Jokes are jokes and they are cool as long as they are jokes with no solid serious underlay.

 I also had my fork upgraded to a 2014 damper for $100. They also made the spring a little more progressive, like I requested. If you call their CS and don't act like a prick, they'll take good care of you. All you RS fanboys crack me. Half my friends who switched to the Pike have had them back to RS already. One has a brand new one that leaks already after 3 rides. All things break, no matter who makes them, this sport is rough on components.

 Im not a fan of rs. The pike works like one would expect but some of the Faux forks that has come out since 2010 has been garbage. Putting down the kind of money a fork cost and its performance is underwhelming U feel cheated, even worse was that most bikes came specced with Faux. They on the right track now but that don't bring me my money... So yeah, I hate them.

 I was one to have some of that Campy mtb stuff back in the day --- pretty nice as far as I can remember --- this dates back a while. The one bad thing I remember might be due to a frame that wasn't built well. A Crack-N-Fail ---- I kept blowing up rear hubs that were Campy. I think the rear end wasn't straight so there was more stress on the rear axle (drive side, I think). I blew up 3 rear wheel hubs (all Campy). Bought it from a local Nashbar so they gave me a new rear wheel each time but the down time sucked. This Nashbar was a hike from my house so it was two trips each time --- drop it off, have them order a new one.. drive back after they replaced it.

I ended up cracking that Crack-N-Fail and I didn't seem to have problems with the rear wheel --- go figure.
On a side note -- cracked 3 Crack-N-fails before giving up on the Cannondale company. life time warranty -- whatever, just provide a product that doesn't fail under normal use.

 This is good cause it enforces the fact that raceface will be around for years to come. It also will act as a great OEM supplier to compete with the big dirty SRAM corporation. Now all you need is a Shimano, fox, raceface, easten specked bike, and you pretty much have the best shit on the planet. Not to be a sram hatter, but those f*ckers have got way to much control on the OEM side of things, and for the most part, unless your buying top range stuff, its crap. I'd much rather a deore, Fox float R, race face turbine, vs. x7, low end revelation / sektor equivalent, sram x7/x9 crank.

 Yup all my single crown fox forks (36,32) developed 'CSU' creaks early in their life.

Its not the steerer as many assume....

Too light and too fragile = CSU needs beefing up as currently the assembly grease leaches out of stanchion / crown interface with regular use and especially bike cleaning.

 I remember a time when Sram was a much smaller player and didn't have anywhere near the sort of market share they do now. I remember a time when Marzocchi and Rockshox were pretty much the only two dominant brands and Fox had yet to still break into the mountain bike market!
Now Sram/Rockshox are one and the same thing and Fox are buying up brands too.

 I think it is only a potential to cash out...note the "earn-out" opportunity which is contingent on meeting financial targets.

Paying 7x EBITDA seems a little rich but Race Face seems to have turned the corner a bit with products like the Next SL cranks so maybe they can grow the whole thing better than RF could as a stand alone.

Total market cap of FOX is $527M...who knew.

 Fox is owned by Compass Group, same as Camelbak and other small outdoorsy companies. Their backing enabled Fox and Camelbak to branch into other industries and widen their product offering in order to grow. Camelbak has been doing well...FOXF not so much lately, but deep investments in tooling this stuff up costs money, and stock brokers only care about "what have you done for me lately".

 From what I understand, Shimano is happy enough with their current relationship with Fox that they don't have much interest in the suspension market. As for Marzocchi, prior to the Tenneco buyout, Suntour tried to buy the MTB side, but they wouldn't break it up. At that time, MTB was pretty much paying the bills since they didn't have much OEM spec on the motorcycle side. I suspect Tenneco may want to hold onto the MTB side of things still in hopes of getting some OEM spec back.. If they did sell the MTB side, I think it would be in name only since there are certain assets they wanted that led to the purchase in the first place.

 More doss from factory is no bad thing, internet haters who only focus on the crappy looking lever can switch it out. They don't need as much service as other designs, & more riders getting them stock, & not having problems, can only increase market penetration, which means cheaper droppers for everybody.

 I've always recommended Race face because of my personal experience dealing with warranty issues, they were great each time. A fella named Sam was great during my last problem and sent me a replacement next bar no problem, I'm guessing that won't be the case with fox. I think I'll head on over to Chromag and see how they treat a loyal customer.

 Sam also helped me out with some missing spacers for a set of Race Face cranks I have. Great customer service from a good local company, its too bad they don't make anything but the carbon crank arms in Canada anymore.

 I used to work at Race Face in their carbon department (before they went tits up) and there are some good people who still rely on those jobs. What pops to mind is if they'll keep the head office/production in Burnaby...

Race Face is woven into the fabric of the Greater Vancouver mountain biking scene, fingers crossed things remain as they are.

 If they are buying assets, that does nothing to extinguish debt, nor assume any existing liabilities - which will all be left with the previous owners of RF/Easton Cycling. Somebody at Fox was thinking.

 Would it not seem odd to acquire 100% of the asset but no liabilities. Must have been some heavy financing to bring RF back from it's closure being held by someone. Actually thinking more perhaps this buy out covers all outstanding liabilities and some profit for whomever is holding the liability. So they cash out and wipe their hands of the whole thing and made some bank.

 Shirk, the 30M is for the assets, per the press release, not the net assets. The idea is that the selling party would use the funds to extinguishing any existing debt. Otherwise, if Fox wanted to assume debt, they would have purchased the shares of RF.

 This seems a bit misleading. I'm assuming Compass (Fox Racing holding co) made the acquisition. They purchased Camelback a few yrs ago also. Smart move as they are moving, or have moved, OEM production of shocks and forks to Taiwan in order to cut supply lead time to the major bike mfg's. Now they can offer more of a package (gruppo) hence, greater market penetration.

 Last I checked Fox/Raceface/Easton doesn't make derailures, chains, brakes, and the multitude of other components that Shimano produces. If anything, there is a growth opportunity to challenge the Shimano/SRAM drivetrain dominance.

 Well FOX and SHimano have been the logical partners, co-developing the 15 mm standard and all.

The question is though, where does this leave Shimano? The partnership, if you look at it from that perspective, now makes 3 sets of hoops, 3 sets of controls, 2 sets of dropper posts, 2 sets of cranks (well, some are carbon, ss far as differentiation goes), etc.

 I would love to know why it takes Fox so long to service a warranty...


SRAM (Rock Shox), if there's a problem, man... they turn it around fast, real fast...+/-72 hours... not so much with Fox and Zoke is by far the worst but, really... why does Fox often take no less than 2, 3 weeks... it's often 2 weeks before they even look at a warranty. and no, I'm not counting the travel time of shipping.

With SRAM, several times they sent a brand new product, no questions asked, sent me a brand new product with a call tag for the warranty item.. Fox never did anything like that for Pshop.

Zoke is on a whole other level when it comes to fixing warranty items --- by far the worst. I send a Rocco back for service and it was at least 2 months before we got it back. 2 rides after the guy put back on his bike it broke (split in half broke). one thing lead to another and we just sold the guy a different rear shock at cost. never looked back at Zoke.

Fox usually does it right when fixing a warranty but geeez, the turn around time is dreadful. That needs improvement, big time.

 Because they have a much higher failure rate. I work in the industry. I'll call and say I have a blown Elixr 5 and they will without question send me a complete set of XO Trails. I like Sram but plastic parts fail faster then metal parts.

 All my suspension is Fox on 4 bikes... Seems like newer bits need more frequent service. Never liked easton wheels until my Havens... bearings suck but overall well built and designed... bearings are cheap and easy to replace on good wheels... Hoping they'll stop seeing service as a profit center and work toward higher quality and less service... else koreans will take over this market too.

 it's all about the OEM sales ---- they're looking to have a complete package they can offer the makers of these bikes we ride... a whole package come from Fox which already has a pretty good portion of OEM sales will be able to grab an even bigger portion cause they can offer those RF and Easton products too. SRAM is kickin' but cause they have forks, shifting, cranks, some wheels, etc

 I always get the feeling people who hate on fox or really any major suspension company either own have never owned it themselves, have no idea what they're talking about, or just treat they're bikes like shit. There are pro's and cons to every product and every manufacture but a lot of stuff out there is pretty fucking good, so everyone stop bitching. btw i have an 07 888 never serviced works perfectly, 08 talas rlc never done a single thing works perfect, 2010 talas fit rlc had to replace rebound valve but nothing since. Just maintain things as you should be reasonable and dont be a fucking retard and you're stuff will work.

 IMHO RF=Inovative and better way of looking at the status quo. FR=cheap crap that comes OEM, the status quo that you wanna replace if you can afford to.

If Only RF could have stood long enough on their own the would have pumped out some amazing forks in the future to further bury rockfox.

my last bike was equipped with fox, i didn't even make it outta the store before i was told hold it right there time for service or void warranty. consequently the bike never leaves the shop. just constant service.

This is a really sad announcement.

 Hm, doubt it... I'd say it takes a lot of expertise when it comes to deraileur, shifter and cassette development, far more than with cranks and front rings.
